Syllarc User Agreement

1. Accepting these Terms

When you register for a Syllarc account you are asked to accept these Terms of Use and to acknowledge our Privacy Policy. Registration records the exact version of each document you accepted and the time you accepted it. You cannot create an account without accepting the version of these Terms that is in force at that moment.

If you use Syllarc on behalf of an institution, you confirm that you are authorised to do so.

2. The Service

Syllarc is an AI-assisted course-development tool. It creates and revises course outlines, lectures, assessments, diagrams, presentations, syllabi, and related teaching materials.

Syllarc supports instructors; it does not replace professional judgment. The service is under active development, and features, models, prices, credit requirements, and availability will change.

3. Accounts

You must be at least 18 years old to create an account.

Keep your credentials confidential and tell us promptly if you believe someone else has used your account.

4. Credits

Some actions in Syllarc use credits. Before starting a credit-using action, Syllarc checks your balance and refuses the action when the balance is too low. Many credit-using actions also ask you to confirm before they begin. Do not assume that every action will ask; read what an action says before you run it.

Credits are usage units, not currency. They are not transferable and they are not redeemable for cash. Syllarc does not currently sell credits. If Syllarc later offers credits for purchase, the purchase, expiry, cancellation, and refund terms presented at the time of that offer will apply to the credits obtained under it.

5. Your Materials

You keep your rights in the descriptions, files, instructions, and other materials you submit ("Inputs").

You confirm that:

• You own your Inputs or have permission to use and process them. Where Syllarc asks you to attest to this at upload, that attestation forms part of this confirmation.
• Your Inputs do not infringe copyright, privacy, confidentiality, or other rights.
• You will not upload student records or personally identifiable student information unless your institution has expressly authorised it and an appropriate agreement with Syllarc is in place.

You retain your rights in your Inputs. To operate the features you request, you grant Equal Science LLC a limited, non-exclusive licence to host, store, copy, reproduce, process, transmit, format, and display your Inputs solely as reasonably necessary to:

• extract and analyse uploaded materials;
• generate and revise course outlines, lectures, assessments, diagrams, presentations, and related teaching materials;
• save and display your work and provide the downloads you request;
• provide, maintain, secure, troubleshoot, and support Syllarc; and
• comply with law and enforce these Terms.

This licence also permits Syllarc to create and maintain backups and to retain information as described in the Privacy Policy. It lasts only as long as reasonably necessary for those purposes, subject to lawful retention requirements and the backup process described in the Privacy Policy. Syllarc may permit its service providers to process Inputs only to the same limited extent needed to provide their services to Syllarc. This licence does not permit Syllarc to use Inputs for advertising or to train or fine-tune AI models.

Indemnity

You are responsible for third-party claims caused by content or conduct that you control. To the extent permitted by law, you will indemnify Equal Science LLC and its officers and personnel against third-party claims, damages, and reasonable legal costs to the extent caused by:

• Inputs that you did not have the right or permission to provide;
• your unlawful use of Syllarc; or
• your material violation of these Terms.

6. AI Training and Service Providers

We do not use your Inputs or Outputs to train or fine-tune AI models, and we do not sell them.

Under the commercial API terms and account settings currently used for AI text generation, that provider does not use API inputs or outputs to train or improve its models. Syllarc has not enabled optional provider training or data-sharing for that service.

That provider retains some request content temporarily for abuse monitoring, security, service operation, or legal compliance. Retention for those purposes is separate from model training. Our Privacy Policy explains what content is sent to each category of provider and why.

To run Syllarc we also rely on third-party providers in these further categories: AI source and claim verification, AI image generation, text-embedding services, academic-metadata lookup services, diagram rendering services, transactional email delivery, and cloud hosting, storage, and backup. Those providers handle content under their own terms, which differ by provider and by account. Our Privacy Policy describes what is sent to each category and why.

7. AI-Generated Materials

Syllarc's generated materials ("Outputs") can contain errors, incomplete explanations, inappropriate examples, inaccurate citations, inaccessible formatting, and unintended similarities to existing material.

Source checking is limited. A claim may be marked as unverified. Separately, a "Verification limited" notice means the source check for that generation ran in a reduced mode. Neither the presence nor the absence of these notices is proof that a statement or a citation is correct.

Before you use or share an Output, you are responsible for reviewing its factual and citation accuracy, its copyright and licensing position, its suitability for your students and discipline including academic-integrity requirements, and its accessibility.

Word and PDF exports of an individual lecture are available in an instructor version and a student-safe version. The instructor version keeps flagged and unverified material so that you can review it. Other exports, including course-level assessment documents, are provided in a single version where offered. You are responsible for sharing the appropriate version with students.

As between you and Equal Science LLC, and to the extent permitted by law, you own the Outputs generated for you. Equal Science LLC assigns to you any rights it may have in those Outputs. You may use Outputs for any lawful purpose.

This does not give you ownership of Syllarc, its software, models, templates, trademarks, or third-party material that may appear in an Output. Outputs may not be unique, may resemble material generated for other users, and may not qualify for copyright or other intellectual-property protection. You are responsible for reviewing Outputs for accuracy, appropriateness, and third-party rights before using or sharing them.

8. Acceptable Use

You may not use Syllarc to:

• Violate any law or another person's rights;
• Create malware, or facilitate violence, fraud, discrimination, or other serious harm;
• Misrepresent AI-generated material as independently verified;
• Circumvent safety, access, credit, or usage controls;
• Probe another user's account or materials; or
• Disrupt, scrape, reverse engineer, or overload the service.

We may refuse or block content, restrict activity, and suspend accounts where that is necessary to protect users, Syllarc, or others.

9. Privacy

Our Privacy Policy explains what information we collect, how it is used and disclosed, how long we keep it, and how to reach us about it.

Do not submit regulated or highly sensitive information unless Syllarc has expressly agreed in writing to process it.

10. Availability and Changes to the Service

Syllarc will at times be unavailable, delayed, or produce incomplete results. We may change, suspend, or discontinue features, including experimental features. Keep independent copies of the materials you need.

11. Disclaimer and Liability

Syllarc and Outputs are provided "as is" and "as available." To the extent permitted by law, Equal Science LLC disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Syllarc will be uninterrupted or error-free, or that Outputs will be accurate, complete, current, unique, accessible, suitable for a particular course or institution, or capable of producing a particular educational outcome. You are responsible for reviewing Outputs before using or sharing them. Rights that cannot lawfully be waived remain unaffected.

To the extent permitted by law, the aggregate liability of Equal Science LLC and its officers and personnel arising out of or relating to Syllarc or these Terms will not exceed the greater of US $100 or the fees you paid to Equal Science LLC for the service giving rise to the claim during the 12 months immediately preceding the event that gave rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost data or lost profits.

These limitations do not exclude rights or liabilities that cannot lawfully be limited.

12. Ending Your Use of Syllarc

You may stop using Syllarc at any time. We may suspend access or restrict activity for material violations of these Terms, security risks, or unlawful use.

Syllarc does not currently offer a self-service account-deletion feature or a single bulk export of everything in your account. Before you stop using the service, download the materials that the service makes available for download.

If you ask us to delete your account content, we handle the request as described in our Privacy Policy, including how information in active systems, retained records, and backup copies is handled.

The provisions of these Terms concerning your materials, your responsibilities, indemnity, disclaimers, and liability continue to apply after you stop using Syllarc.

13. Changes to these Terms

We may update these Terms. A material change produces a new version with a new version identifier and a new effective date, and we will tell you about it through the service or by email.

Where we consider it appropriate, or where the law requires it, we will ask you to accept the new version before you continue to use Syllarc. We do not treat your earlier use of the service as acceptance of a version published after that use.

14. Governing Law and Disputes

Informal resolution

Before filing a non-small-claims court action, the person raising the dispute must send written notice to support@syllarc.com, and Equal Science LLC will send notice to the email address associated with the account. The notice must identify the person and account, describe the dispute, and state the requested relief. The parties will attempt in good faith to resolve the dispute for 30 days after receipt of the notice. Any applicable limitation period is suspended during that 30-day period. This informal process is not required for an eligible individual small-claims action or a request for urgent temporary relief.

Small claims

Either party may bring an eligible individual claim in small-claims court where you live or in Salt Lake County, Utah.

Governing law and court venue

Utah law governs these Terms without regard to conflict-of-law rules. Any dispute that is not brought in small-claims court must be brought in the state or federal courts located in Salt Lake County, Utah, and the parties consent to those courts' jurisdiction. Rights that cannot lawfully be waived remain unaffected.
